Terms of Service
The agreement between you and Ralspin for use of the service in Canada.
The short version. Ralspin is a curated information and matching service — we surface opportunities, we don't grant admission or run the programs. Your subscription auto-renews each month and you can cancel any time. Quebec consumer-protection rights and other applicable consumer-protection legislation apply notwithstanding anything in these Terms.

§ 01Acceptance of these terms
These Terms of Service (the "Terms") form a binding agreement between you and Fezzo Consulting LLC, a Michigan limited liability company doing business as Ralspin ("Ralspin," "we," "us"). By creating an account, subscribing, providing your phone number for SMS alerts or otherwise using the service, you agree to these Terms and our Privacy Policy.
§ 02Eligibility
You must have reached the age of majority in your province or territory (18 in most provinces; 19 in British Columbia, New Brunswick, Newfoundland and Labrador, Nova Scotia, Northwest Territories, Nunavut and Yukon) to create an account and enter into these Terms. Younger users may use the service only through a parent or legal guardian who creates and supervises the account. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.
§ 03Account registration
You agree to provide accurate, current and complete information when you register, and to keep that information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use.
§ 04Description of the service
Ralspin is a curated subscription service that surfaces information about summer camps, fellowships, research placements, certifications, apprenticeships, Red Seal trades and youth conferences, and sends deadline-driven SMS and email reminders. We also offer 1:1 consultation sessions with strategists.
We are an information and matching service. We do not operate, sponsor, evaluate, accredit or guarantee any third-party program listed in our database. Eligibility, admission, scholarship awards, application outcomes and program quality are determined solely by the third-party programs and their operators. Deadlines, fees, eligibility criteria, locations and program details are subject to change at any time by the program operator; we make reasonable efforts to keep listings current but do not warrant their accuracy.
§ 05Subscriptions and billing
The service is offered in three subscription tiers:
- Self-Starter — CA$9.99 per month, billed monthly.
- Household — CA$14.99 per month, billed monthly, up to four student profiles.
- Institution — CA$299 per month per school site, billed monthly, up to 500 student profiles.
Annual prepayment is available at a 20% discount. All prices are exclusive of GST, HST, QST and PST, which will be added where applicable. We reserve the right to change subscription fees with at least 30 days' prior notice.
Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. You will receive a renewal notice by email at least 7 days before each renewal so that you may cancel if you do not wish to continue.
§ 06Cancellation and refunds
You may cancel your subscription at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
Refunds are issued where required by applicable consumer-protection legislation or where the service has been materially unavailable due to our fault for a substantial portion of the billing cycle. Refund requests must be sent to [email protected] within 14 days of the charge.
§ 07Consumer protection rights
These Terms do not limit your rights under the applicable consumer-protection legislation of your province or territory, including the Consumer Protection Act (Ontario), the Consumer Protection Act (Quebec), the Business Practices and Consumer Protection Act (British Columbia) or the Consumer Protection Act (Alberta). Specifically:
Quebec residents
If you are a consumer residing in Quebec, the Consumer Protection Act ("C.P.A.") applies notwithstanding anything in these Terms. Any provision in these Terms that conflicts with a mandatory provision of the C.P.A. is to that extent unenforceable against you. In particular: the C.P.A. governs the formation, performance, modification and resolution of distance contracts; we may not unilaterally amend an essential element of these Terms; the C.P.A.'s rules on cancellation and refund of distance contracts apply.
Ontario residents
Under the Ontario Consumer Protection Act, you have certain rights with respect to internet agreements, including the right to receive a copy of the agreement within 15 days, to cancel under specified circumstances and to request a refund through your credit-card issuer in certain cases.
§ 08SMS and CASL
By providing a mobile number and opting in to SMS alerts, you give us your express consent under Canada's Anti-Spam Legislation ("CASL") to receive recurring text messages from Ralspin including deadline reminders, account notices, billing notices and consultation confirmations.
Message frequency varies based on the opportunities you follow. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. You may opt out at any time by replying STOP to any message, by adjusting your settings in your account, or by emailing [email protected]. Unsubscribe requests will be honoured within 10 business days as required by CASL.
§ 09User content and conduct
You may submit content to the service, including student profile information, saved opportunities, consultation notes, survey responses and communications ("User Content"). You retain all rights in your User Content. You grant Ralspin a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify and display User Content solely as necessary to provide the service.
You agree not to: (a) use the service unlawfully; (b) interfere with or compromise the security of the service; (c) scrape or harvest data; (d) upload infringing, defamatory, obscene or harassing content; (e) impersonate any person; or (f) use the service to collect contact information about young people for any purpose other than your own household's or institution's use.
§ 10Intellectual property
The service — including the database, match engine, curated lists, written content, designs, logos, fonts (under licence) and software — is the intellectual property of Fezzo Consulting LLC and its licensors, protected by Canadian and international copyright, trade-mark and trade-secret laws. We grant you a limited, non-transferable, revocable licence to use the service as set out in these Terms. No other rights are granted.
§ 11Third-party content
The service contains links to programs operated by third parties. We do not control and are not responsible for the availability, content, terms, privacy practices or fees of third-party programs. Your interactions with third-party programs are solely between you and the third party.
§ 12Consultation sessions
Consultation sessions are advisory. Our strategists provide guidance on opportunity selection, application strategy and personal statements. Consultations do not constitute legal, financial, immigration, psychological or medical advice. We make no guarantee of admission, scholarship, bursary or any other application outcome. Cancellations of booked consultations within 24 hours of the scheduled time may forfeit the session credit.
§ 13Disclaimers
Subject to your rights under applicable consumer-protection legislation, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by applicable law, Ralspin disclaims all warranties, including warranties of merchantable quality, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, accurate, complete or that information provided will result in any particular outcome.
Nothing in these Terms excludes or limits any non-excludable warranty, condition or remedy provided under the consumer-protection legislation of your province or territory.
§ 14Limitation of liability
Subject to your rights under applicable consumer-protection legislation, in no event will Ralspin, its officers, directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, data, goodwill or other intangible losses, arising out of or relating to your use of (or inability to use) the service.
Ralspin's total cumulative liability arising out of or relating to these Terms or the service is limited to the greater of (a) the fees you paid to Ralspin in the 12 months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CA$100). For Quebec residents, this limitation does not apply to liability for material injury caused by gross or intentional fault.
§ 15Indemnification
You agree to defend, indemnify and hold harmless Ralspin, its affiliates and their officers, directors, employees and agents from claims, damages, obligations, losses, liabilities, costs or expenses (including reasonable solicitors' fees) arising out of your use of the service, your violation of these Terms, your violation of any third-party right, or any claim that your User Content caused damage to a third party.
§ 16Termination
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or that termination is necessary to protect the service, our users or third parties. You may terminate your account at any time as described in Section 6. Sections that by their nature should survive (including Sections 10, 13–15, 17) will survive.
§ 17Disputes and governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, except where the consumer-protection laws of your province or territory of residence apply.
For Quebec residents: the C.P.A. and the laws of Quebec apply to this agreement to the extent of any inconsistency, and courts in Quebec have jurisdiction over disputes arising out of these Terms.
Informal resolution. Before commencing formal proceedings, we encourage you to contact [email protected] so we can attempt to resolve the dispute informally.
Nothing in this section prevents you from filing a complaint with a competent regulator (such as the Office of the Privacy Commissioner of Canada or your provincial consumer-protection authority) or from pursuing remedies available under applicable consumer-protection legislation.
§ 18Changes to these terms
We may update these Terms from time to time. Material changes will be communicated through the service or by email with reasonable advance notice. For Quebec consumers, we will obtain your express consent before any modification that alters an essential element of the contract. Your continued use of the service after the effective date of the updated Terms constitutes acceptance of the changes.
§ 19General provisions
Entire agreement. These Terms, together with our Privacy Policy and any plan-specific order documents, constitute the entire agreement.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any right is not a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Language. The parties have requested that these Terms be drafted in English. Les parties ont demandé que les présentes Conditions soient rédigées en anglais. A French translation is available on request.
